Public offer

Public offer for the sale of goods and provision of information services on the iva-cloud.com website.

1. General provisions

1.1. This document is an official public offer by PEOPLE UA LLC (hereinafter — the Seller) to enter into an agreement on the terms set out below with any individual or legal entity (hereinafter — the Buyer) who accepts the terms of this offer.

1.2. In accordance with Article 633 of the Civil Code of Ukraine, this offer constitutes a public contract. Placing an order on the iva-cloud.com website and/or paying for it is considered full and unconditional acceptance of the terms of this offer by the Buyer.

1.3. By accepting this offer, the Buyer confirms that they have read all of its terms, agree with them in full, and undertake to comply with them.

2. Subject of the agreement

2.1. The iva-cloud.com website is an online store that sells equipment (hereinafter — the Goods) and also provides Buyers with reference information about cloud hosting plans.

2.2. The Seller is not the provider of cloud hosting services through the iva-cloud.com website. Information about cloud hosting plans published on the website is for reference purposes only.

2.3. Connection to cloud hosting services, selection of a plan, and payment for it are carried out exclusively through the Seller's mobile application, available for download on the App Store and Google Play. The iva-cloud.com website only contains links to the relevant App Store and Google Play pages for downloading the application.

2.4. The terms of providing cloud hosting services, the procedure for connection, payment, and technical support are governed by a separate user agreement accepted by the Buyer directly within the mobile application, and are not the subject of this offer.

3. Order placement procedure

3.1. The Buyer places an order for the Goods independently by submitting the relevant request on the iva-cloud.com website.

3.2. After the order is placed and confirmed, the Buyer receives all the information needed regarding its fulfillment.

3.3. The Seller reserves the right to refuse to fulfill an order if the ordered Goods are unavailable in stock, or for other objective reasons, by notifying the Buyer accordingly.

4. Price of goods and payment procedure

4.1. The price of the Goods is determined by the prices in effect on the iva-cloud.com website at the time the order is placed and may be changed by the Seller unilaterally.

4.2. The Buyer pays for the order using one of the following methods:

• Bank card payment — made online directly when placing the order on the website
• Cash on delivery — made upon receipt of the order at a Nova Poshta branch, parcel locker, or to the courier

4.3. Payment by bank transfer using invoice details is not available on the website.

4.4. Information about cloud hosting plans published on the website does not constitute an offer to enter into an agreement for the provision of such services and does not allow for payment for them directly on the website.

5. Delivery of goods

5.1. Orders are delivered across Ukraine exclusively via Nova Poshta.

5.2. The Buyer can choose from the following delivery methods:

• To a branch
• To a parcel locker
• Address delivery by courier

5.3. Delivery cost and timing are determined by the rates and terms currently in effect at Nova Poshta.

5.4. Once the order has been shipped, the Seller sends the Buyer a tracking number (TTN), which can be used to track the shipment's status on the website or in the carrier's mobile app.

5.5. Upon receiving the order, the Buyer is advised to check that the Goods are complete, the packaging is intact, and there is no physical damage. If damage or a discrepancy with the Goods is found, this should be recorded with the delivery representative and reported to the Seller's support team.

6. Returns and exchanges of goods

6.1. Returns and exchanges of Goods are carried out in accordance with the requirements of the Law of Ukraine "On Consumer Rights Protection."

6.2. Return or exchange of goods in original condition

The Buyer has the right to return or exchange Goods in original condition within 14 calendar days of receiving them, provided that:

• The Goods have not been used
• Their appearance and consumer properties are preserved
• The factory packaging is not damaged
• All components and accompanying documentation are included
• Proof of purchase is available

After the Goods are received and their condition is verified, the funds are refunded to the Buyer in accordance with applicable Ukrainian law.

6.3. Return of defective goods

If the Buyer receives Goods with a manufacturing defect or Goods that do not match the order, they should contact the Seller's support team. Once the warranty case is confirmed, the Goods may be replaced with an identical item, sent for warranty repair, or refunded in accordance with Ukrainian law.

6.4. Goods that cannot be returned

Exchange or return of Goods in original condition is not possible in cases provided for by applicable Ukrainian law, as well as if:

• The Goods show signs of use
• The packaging is damaged or has lost its original appearance
• Part of the set is missing
• Damage occurred through the Buyer's fault

6.5. Return procedure

To arrange a return or exchange, the Buyer must contact support@iva-cloud.com, provide the order number, describe the reason for the request, and, if needed, attach photos of the Goods or the defect found. After receiving instructions from a support specialist, the Goods should be sent via Nova Poshta.

6.6. Refunds

Refunds are issued after the Goods are received and inspected. Funds are returned using the same payment method originally used, or another method agreed with the Buyer. The time it takes for funds to be credited depends on the payment method chosen and the policies of the relevant bank.

7. Rights and obligations of the parties

7.1. The Seller undertakes to:

• Ensure the proper quality of Goods sold through the website
• Provide accurate and up-to-date information about the Goods and cloud hosting plans for Buyers' reference
• Ensure the confidentiality of the Buyer's personal data in accordance with Ukrainian law

7.2. The Buyer undertakes to:

• Pay for ordered Goods in a timely manner using the chosen payment method
• Provide accurate information required for placing and fulfilling the order
• To receive cloud hosting services, independently download the Seller's mobile application and accept its separate terms of use

8. Liability of the parties

8.1. The parties are liable for failure to perform or improper performance of their obligations under this agreement in accordance with applicable Ukrainian law.

8.2. The Seller is not liable for the quality, availability, or manner of provision of cloud hosting services, as such services are not provided through the iva-cloud.com website, and their connection and payment are carried out exclusively through the mobile application under a separate agreement.

8.3. The Seller is not liable for delivery delays caused by the actions of Nova Poshta, force majeure circumstances, or the actions of third parties.

8.4. The Seller is not liable for the operation of the App Store and Google Play platforms, through which the mobile application is downloaded.

9. Term of the agreement

9.1. The agreement takes effect from the moment the Buyer accepts the offer and remains in effect until the parties have fully performed their obligations.

9.2. The Seller reserves the right to amend the terms of this offer unilaterally. Amendments take effect from the moment they are published on the iva-cloud.com website.
